1. Agreement and eligibility

These Terms govern access to Just2Pay websites, SAJ, hosted merchant storefronts, selling/payment links and related Services. By using the Services, you accept these Terms and incorporated policies. You must be at least 18 and legally capable. A person acting for an organization confirms authority to bind it. Merchant services may also require a Merchant Agreement, order form, pricing schedule and partner terms; those documents prevail for merchant-specific matters.

2. Platform role

Just2Pay provides commerce software, marketplace technology, order-management and payment-enablement capabilities. Unless a product page or checkout expressly identifies Just2Pay as seller, the merchant is the independent seller of record and is responsible for product legality, accuracy, stock, price, taxes, invoices, delivery, warranty, returns and consumer rights. Just2Pay is not a bank, lender, card issuer, acquiring institution, courier or the merchant’s commercial agent merely because a transaction uses the Services. Regulated payment, financing and delivery services are supplied by the relevant partner under its terms.

3. Accounts, electronic acceptance and verification

Provide accurate, current information and keep credentials confidential. Merchant onboarding and contractual acceptance are completed electronically. The authorized user selects the displayed approval or agreement checkbox/button, and Just2Pay records the submitted merchant and user data, agreement and policy versions, date and time, account identifier, IP address, device/browser evidence and relevant verification records. No handwritten or uploaded contract signature is required unless a regulator, payment provider or applicable law requires a separate instrument for a specific regulated service. Account activation may occur automatically after required fields and automated validation rules pass. We may require email/mobile verification, KYB/KYC documents, ownership and authorized-representative information, bank details or partner approval and may refuse, restrict or suspend access where information is incomplete, misleading, expired, sanctions/fraud risk exists, a partner rejects activation, or law and security require it.

4. Orders and payments

A shopper’s order is an offer to purchase from the merchant. Acceptance occurs when the merchant confirms the order or otherwise as stated at checkout. Product availability and pricing errors may permit cancellation subject to law. Online payment authorization does not by itself guarantee merchant acceptance or fulfillment. COD remains unpaid until collected. Manual-transfer proof requires verification by the merchant and is not a Just2Pay guarantee. Refund timing depends on the merchant, payment provider and applicable law.

5. Acceptable use

Do not violate law or third-party rights; impersonate others; upload malware; probe or bypass security; scrape or automate access without permission; interfere with service integrity; launder proceeds; misrepresent payment status; sell prohibited, counterfeit, unsafe, stolen or regulated goods without authorization; publish deceptive content; abuse returns, promotions or reviews; or use customer data outside the permitted transaction and lawful marketing basis.

6. Content and intellectual property

Just2Pay and its licensors retain all rights in the platform, software, designs, documentation, trademarks and analytics excluding merchant content. Users receive a limited, revocable, non-transferable right to use the Services during the applicable term. A merchant retains its content but grants Just2Pay a worldwide, non-exclusive license to host, reproduce, adapt for display, transmit and use it only to operate, secure, promote as authorized and improve the Services. The merchant warrants it has all necessary rights.

7. Fees, subscriptions and taxes

Merchant fees, commissions, transaction charges, add-ons, renewal, settlement and taxes are governed by the applicable order form, pricing schedule or Merchant Agreement. Displayed prices may change prospectively. Unless mandatory law or a written plan says otherwise, fees already earned for an activated or consumed service are non-refundable. Consumers’ statutory product-refund rights are not limited by this clause.

8. Third-party services

Connected providers are independent. Availability, approval, pricing, settlement, downtime, disputes and reversals may be governed by their terms. Links do not constitute endorsement. We may change or discontinue an integration when a partner, security, legal or commercial requirement makes this necessary.

9. Availability, disclaimers and liability

We aim for reliable Services but do not guarantee uninterrupted or error-free operation, sales volume, financing approval, delivery outcome or payment-provider acceptance. To the maximum extent permitted by law, Services are provided as available. Nothing excludes liability that cannot lawfully be excluded, including mandatory consumer rights. For business users, Just2Pay is not liable for indirect, incidental, special or consequential loss, loss of profit, reputation or data, and aggregate liability is limited to fees paid for the affected Service in the preceding 12 months, except for fraud, wilful misconduct, breach of confidentiality or data-protection duties, failure to account for settlement funds, or other non-excludable liability.

10. Suspension and termination

We may suspend or terminate access for breach, fraud/security risk, unlawful activity, non-payment, provider instruction, legal requirement or material harm. A merchant may cancel under its order form. Termination does not remove accrued payment, refund, chargeback, indemnity, confidentiality, audit or dispute obligations. Data export and deletion follow the contract and Privacy Policy.

11. Governing law and disputes

These Terms are governed by the laws of the Arab Republic of Egypt. The competent Egyptian courts shall have jurisdiction, without prejudice to mandatory consumer complaint and jurisdiction rights. Before proceedings, contact infosec@just2pay.net and allow 15 business days for good-faith resolution.
